    Merger of MobileMoney LTD and MobileMoney Fintech LTD

    Notice is hereby given pursuant to section 243(4)(b) of the Companies Act, 2019 (Act 992) that MML intends to undergo a reorganisation involving the statutory merger of MML (the current company through which MTN group operates its fintech business in Ghana) and MMF LTD (a new company through which MTN group will operate its fintech business in Ghana), under which MMF LTD will remain as the surviving entity and continue to operate the fintech business in Ghana (the Merger).

    The Merger is being undertaken as part of the steps to satisfy a localisation requirement under the Payment Systems and Services Act, 2019 (Act 987), pursuant to which a company conducting mobile money business must have a minimum of 30% local equity participation to qualify for a licence to operate as a dedicated electronic money issuer.

    The terms of the Merger have been set out in a merger agreement dated 31 October 2025, entered into between MML and MMF LTD, which also contains a merger proposal. The merger agreement is inclusive of the merger proposal, is referred to as the Merger Agreement.

    Copies of the Merger Agreement are available at the registered office of each of MML and MMF LTD (as reflected below), for inspection by any shareholder or creditor of MML or MMF LTD or by any other person to whom MML or MMF LTD owes that obligation, during normal business hours (i.e. 8 am to 4 pm from Mondays to Fridays) from the date of this notice up to and including 1 December 2025.

    Further, a shareholder or creditor of MML or MMF LTD or any other person to whom MML or MMF LTD owes an obligation to supply a copy of the Merger Agreement is entitled to be supplied, free of charge, with a copy of the Merger Agreement upon request to MML or MMF LTD.
